Pala Petfoods Estonia OÜ (“Pala”)

These Terms & Conditions apply to all wholesale and business-to-business (B2B) purchases made from Pala Petfoods Estonia OÜ (“Pala”).

By placing an order, the customer confirms acceptance of these Terms & Conditions in full.

Consumer protection legislation does not apply to B2B transactions.

1. Overview

1.1 These Terms & Conditions govern all wholesale and B2B sales of products by Pala.

1.2 Any deviation from these Terms & Conditions is valid only if agreed in writing by Pala.

1.3 Pala reserves the right to amend these Terms & Conditions at any time without prior notice. The version valid at the time of order placement shall apply to that order.

2. Orders & Order Confirmation

2.1 An order becomes legally binding once checkout has been completed and the order has been confirmed.

2.2 Orders cannot be modified after checkout. The customer is solely responsible for carefully reviewing all order details before completing the purchase.

2.3 All discounts, promotions, or special terms must be applied at checkout. Once an order has been confirmed:

  • no retrospective discounts will be granted; and
  • invoices will not be amended.

2.4 In exceptional cases where Pala agrees, at its sole discretion, to modify a confirmed order, an administrative handling fee of €50 will apply.

2.5 Pala reserves the right to adjust quantities, cancel, or partially fulfill an order if supply limitations or other circumstances prevent full delivery.

2.6 Any delivery times provided are indicative only and may vary.

2.7 The customer must provide accurate and complete contact information, including delivery address, email address, and phone number, at checkout and in their account. The customer must promptly notify Pala of any changes. Pala shall not be liable for failed deliveries, missed notifications, or unpaid invoices resulting from incorrect or outdated contact details.

3. Prices & Payment

3.1 Prices are determined by the valid price list or webshop pricing at the time the order is placed. Pala reserves the right to change prices at any time prior to order confirmation. All prices are stated in EUR unless otherwise specified.

3.2 Standard payment terms are 14 days from the invoice date, unless otherwise agreed in writing.

3.3 The first two (2) orders must be paid by card or other online banking methods available at checkout, unless separate written terms have been agreed. After two successfully completed orders, invoice payment becomes available by default.

3.4 If payment is not made by the due date:

  • ordering may be restricted to prepayment; and
  • Pala reserves the right to take case-specific measures, including modifying payment methods or suspending order processing.

3.5 Late payments accrue interest in accordance with the Estonian Interest Act (reference rate + 8%).

3.6 Title to the goods remains with Pala until full payment has been received.

3.7 The customer is responsible for all reminder fees, collection costs, legal expenses, and other reasonable costs related to debt recovery. After a second payment reminder, unpaid invoices may be referred for collection or enforcement in Estonia or abroad at the customer’s expense.

3.8 Any invoice-related claims must be submitted in writing to b2b@palapets.com before the invoice due date. After the due date, the invoice shall be deemed accepted.

3.9 For prepaid orders (including credit card and bank transfer payments), any financial claims must be submitted prior to payment. Once payment has been made, no retrospective discounts, credits, or invoice amendments will be granted.

4. Shipping & Minimum Orders by Country

4.1 The standard processing time for dispatch from Pala’s warehouse is up to 14 days from order confirmation.

4.2 During periods of high demand or supply constraints, dispatch may take up to four (4) weeks and, in exceptional circumstances, up to six (6) weeks.

4.3 After dispatch, transit times depend on the carrier and destination. Pala is not responsible for delays caused by shipping companies once the goods have left its warehouse.

4.4 The default delivery term is DAP (Delivered at Place, Incoterms 2020). Pala arranges delivery to the customer’s specified address. Shipping costs are added at checkout or to the invoice unless otherwise agreed.

4.5 Free shipping thresholds:

  • €300 minimum order value: Estonia, Latvia, Lithuania, Finland
  • €400 minimum order value: Austria, Belgium, Bulgaria, Croatia, Czech Republic, Denmark, France, Germany, Greece, Hungary, Ireland, Italy, Luxembourg, Malta, Netherlands, Poland, Portugal, Romania, Slovakia, Slovenia, Spain, Sweden, United Kingdom, Andorra
  • €700 minimum order value: Norway, Switzerland, Iceland

Free shipping does not apply to other destinations.

4.6 Risk transfers to the buyer upon delivery at the agreed destination.

4.7 EXW (Ex Works, Estonia) applies only if separately agreed in writing.

4.8 The buyer must ensure that delivery can be accepted during normal business hours at the agreed address. Pala is not responsible for:

  • failed delivery attempts;
  • special delivery arrangements; or
  • additional costs caused by the buyer’s unavailability.

4.9 Carriers communicate directly with the buyer regarding tracking and delivery arrangements. The buyer is responsible for coordinating re-delivery, unloading, or other logistics directly with the carrier.

4.10 If goods are returned to Pala due to failed delivery, additional shipping charges will apply for re-dispatch.

5. Inspection of Goods & Claims

5.1 The buyer must inspect the goods immediately upon delivery.

5.2 Any visible damage, defects, or shortages must be reported to Pala in writing without undue delay.

Failure to report promptly may result in loss of the right to claim.

6. Returns & Refunds

6.1 Returns for change of mind are not accepted.

6.2 Returns are permitted only for defective or damaged goods and require prior written approval from Pala.

6.3 Unless otherwise agreed, the buyer bears the cost of return shipping.

6.4 Refunds or replacements will be issued only after inspection and written confirmation by Pala.

7. Liability for Defects & Warranty

7.1 Products must be stored in a cool, dry environment, protected from direct sunlight, moisture, and heat. Products must be kept away from radiators, stoves, indoor heat sources, hot vehicles, unventilated spaces, and outdoor exposure.

7.2 Warranty applies only to defects arising under proper storage and normal use.

7.3 The warranty period extends until the expiry date printed on the product packaging or, in the case of samples or products with a shorter indicated durability, until that earlier stated date.

7.4 At its discretion, Pala may provide either a replacement product or a reasonable price reduction.

7.5 The warranty does not cover damage resulting from misuse, improper storage, or normal wear and deterioration.

8. Limitation of Liability

To the maximum extent permitted by law, Pala shall not be liable for any indirect or consequential damages, including but not limited to loss of profits, contracts, goodwill, business interruption, or data.

9. Intellectual Property

All trademarks, brand names, packaging designs, product materials, and related intellectual property rights remain the exclusive property of Pala.

Customers may use Pala’s intellectual property solely for the resale and marketing of genuine Pala products. Customers may not register, alter, reproduce, or otherwise misuse Pala’s intellectual property.

10. Force Majeure

Neither party shall be liable for failure to perform its obligations due to circumstances beyond its reasonable control, including but not limited to changes in legislation, acts of authorities, war, labor disputes, blockades, accidents, transport disruptions, or currency restrictions.

During such circumstances, Pala may suspend or postpone deliveries without liability for damages.

11. Governing Law & Disputes

These Terms & Conditions are governed by the laws of Estonia.

Unless otherwise agreed in writing, any disputes shall be resolved by the competent courts of Estonia.

Pala reserves the right, at its sole discretion, to initiate legal proceedings in the courts of the customer’s country of domicile or business operation, or in any other competent jurisdiction where enforcement may be sought.
