These Terms & Conditions apply to all wholesale and B2B purchases made from Pala Petfoods Estonia OÜ (“Pala”). By placing an order, the customer accepts the following terms. Consumer protection rights do not apply to B2B transactions.
1. Overview
These Terms & Conditions govern all wholesale and B2B sales of products by Pala Petfoods Estonia OÜ. Any deviations require prior written agreement from Pala. Pala reserves the right to amend these Terms & Conditions at any time without prior written notice.
2. Orders & Order Confirmation
The minimum order value per order is €300. Orders become binding once confirmed and checkout is completed. Changes to orders cannot be made after completing checkout, and customers are responsible for carefully reviewing their order before placing it.
Discounts, promotions or special terms must be applied at checkout. Once an order has been confirmed, no retrospective discounts will be granted and invoices will not be amended.
In exceptional cases where Pala agrees to modify a confirmed order, an administrative handling fee of €50 will apply. Pala reserves the right to adjust, cancel, or partially fulfill orders if supply limitations or other circumstances make full delivery impossible. Delivery times are indicative only and may vary.
The customer must provide correct address, email, and phone number at checkout and in their account, and notify Pala without delay if these details change. Pala is not responsible for failed deliveries, missed notifications, or unpaid invoices caused by incorrect or outdated contact details.
3. Prices & Payment
Prices are determined by the current pricelist or webshop checkout at the time of order. Pala reserves the right to adjust prices at any time without prior written notice. All prices are in EUR unless otherwise stated. Payment terms are 14 days from the invoice date, unless otherwise agreed in writing.
Late payments are subject to interest according to the Estonian Interest Act (reference rate +8%). Goods remain the property of Pala until paid in full.
The customer is liable for all reminder fees, collection charges, legal costs, and other reasonable expenses related to debt recovery. After a second reminder, unpaid invoices may be forwarded for collection or enforcement in Estonia or abroad, and the customer is liable for all associated costs.
Reclamations concerning invoices must be submitted in writing to b2b@palapets.com before the invoice due date. After that, invoices are considered accepted. For pre-paid orders (credit card, bank transfer), financial reclamations must be submitted before payment; once paid, no retrospective discounts or amendments will be granted.
4. Shipping Terms
The standard processing time is up to 14 days to dispatch an order from Pala’s warehouse after order confirmation. In situations of high demand or supply constraints, dispatch may take up to four weeks, and in exceptional cases up to six weeks. After dispatch, transit times depend on the shipping company and destination. Pala is not responsible for courier delays once the order has left its warehouse.
The default delivery term is DAP (Delivered at Place, Incoterms 2020). Pala arranges delivery to the customer’s address, and shipping charges are added to the invoice or checkout unless otherwise agreed.
Free shipping applies to orders of at least €300 in Estonia, Latvia, Lithuania and Finland;
Free shipping applies to orders of at least €400 in Austria, Belgium, Bulgaria, Croatia, Czech Republic, Denmark, France, Germany, Greece, Hungary, Ireland, Italy, Luxembourg, Malta, Netherlands, Poland, Portugal, Romania, Slovakia, Slovenia, Spain, Sweden, the United Kingdom and Andorra; and
Free shipping applies to orders of at least €700 in Norway, Switzerland and Iceland. No free shipping is available for other destinations.
Risk transfers to the buyer upon delivery at the agreed place. EXW (Ex Works, Estonia) may apply only if separately agreed. The buyer is responsible for ensuring that someone is available to receive the delivery during normal business hours at the agreed delivery address. Pala is not responsible for extraordinary delivery arrangements or failed delivery attempts caused by the buyer’s unavailability. Delivery companies will send confirmation or tracking messages directly to the buyer, and it is the buyer’s responsibility to coordinate with the carrier for re-delivery, unloading or other arrangements. If a parcel is returned to Pala due to failed delivery, an additional delivery charge will apply to re-ship the order.
5. Inspection of Goods & Claims
The buyer must inspect goods immediately upon delivery. Any visible defects, damage or shortages must be reported in writing without delay.
6. Returns & Refunds
Returns for “change of mind” are not accepted. Only defective or damaged goods may be returned, subject to prior approval by Pala.
The buyer is responsible for return shipping costs unless otherwise agreed. Refunds or replacements are provided only after inspection and confirmation by Pala.
7. Liability for Defects & Warranty
Store in a cool, dry place, protected from direct sunlight, moisture, and heat. Keep away from radiators, stoves, or other indoor heat sources, as well as from hot vehicles, unventilated spaces, or outdoor exposure.
Warranty applies only to defects arising under proper use and storage. The warranty period is valid until the expiry date printed on the product packaging, or, for samples and products with a shorter stated durability, until that earlier date. Pala may, at its discretion, provide a replacement or a reasonable price reduction. Warranty does not cover misuse, improper storage or normal wear.
8. Limitation of Liability
Pala is not liable for indirect or consequential damages, including but not limited to lost profits, contracts or data.
9. Intellectual Property
All trademarks, brand names, packaging designs and related rights remain the property of Pala. Customers may not use, register or alter Pala’s intellectual property other than for the resale and marketing of Pala products.
10. Force Majeure
A party is relieved from liability for failure to perform obligations due to circumstances beyond its reasonable control, including but not limited to changes in laws or regulations, acts of authorities, war, labour disputes, blockades, accidents or transport and currency restrictions.
During such circumstances, Pala may postpone deliveries until conditions normalize, without liability for damages.
11. Governing Law & Disputes
These Terms & Conditions are governed by Estonian law. Unless otherwise agreed in writing, disputes shall be resolved in Estonian courts. However, Pala reserves the right, at its sole discretion, to initiate proceedings in the courts of the customer’s country of domicile or business operation, or in any other competent jurisdiction where enforcement may be sought.
